ZBV ABOGADOS ADVISED IN SNACK DEAL
(Buenos Aires, June 26 2012) -- Zang, Bergel & Vi帽es Abogados advised Emprendimientos Joralfa S.A. in an M&A deal to sell its successful line of healthy snacks to Argentine food giant Molinos R铆o de La Plata.
Five years ago, Emprendimientos Joralfa S.A. created Chocoarroz, a rice-based snack that in just a few years revolutionized the snack market in Argentina creating a whole new category and becoming a success in sales. The company also produces and distributes MiniDeli and DeliLight (two lines of rice cookies).
For the acquisition of 100% stake of Emprendimientos Joralfa S.A., Molinos paid US$ 15 million. The sellers also signed a 3-year non-competition agreement in exchange of a variable compensation calculated upon national and international sales of the products involved in the deal. Moreover, the parties formalized a consultancy agreement for the seller group.
Zang, Bergel & Vi帽es Abogados acted as legal advisor of Emprendimientos Joralfa S.A. through Partner Pablo Vergara del Carril, Off-Counsel Alejandro Mao, and Associates Mar铆a Laura Barbosa and Pilar Isaurralde.
Bruchou, Fern谩ndez Madero & Lombardi acted as legal counsel of Molinos R铆o de la Plata through Partners Ciro Astolfi and Mariano Luchetti, and Associates Elena Sozzani and Juan Bautista Zambon.
