ZBV ABOGADOS ADVISES BANCO HIPOTECARIO ON NOTES ISSUANCE
(Buenos Aires, May 14, 2012) -- Zang, Bergel & Vines Abogados advised Banco Hipotecario S.A. regarding the issuance of Series II and Series III, issued under the Bank´s Global Note Program for up to the sum of US$ 500,000,000 or the equivalent in other currencies.
On May 11, 2012, the Bank successfully completed the issuance of Series II and Series III Notes for a global amount of Ps. 166,784,980.80.
Series II has a maturity of 18 months from its issue date, with a face value of Ps. 120,101,000, at an issue price of 100% of the face value; issued at a Private Badlar Rate plus 195 bps per annum, payable on a quarterly basis.
Series III has a maturity of 18 months from its issue date, and was issued at a nominal value of US$ 10,541,000, equivalent to Ps.46,683,980.80, at an issue price of 100% of the face value, at a fixed rate of 4.50% per year, payable on a quarterly basis.
The offering was directed to the domestic market; the notes will be listed in the Buenos Aires Stock Exchange and admitted for trading on the Mercado Abierto Electrónico S.A., the Argentine over-the-counter market.
BACS Banco de Crédito y Securitización, Banco Hipotecario and Banco Galicia acted as underwriters for the placement, while Allaria Ledesma, and SBS acted as sub-placement agents in the issuance.
Zang, Bergel & Viñes Abogados acted as deal counsel through partner Carolina Zang, and associates Gabriela Bindi and Pablo Nisim Schreiber.
